Terms of Service
These Terms of Service govern the engagement, software licensing, engineering services, and technical solutions provided by Lealix IT Solutions (DTI Registered • Business No: 8407189).
01. Scope of Services & Engagements
Lealix IT Solutions provides specialized information technology services, including but not limited to:
- Proprietary Software as a Service (SaaS) and cloud subscriptions
- Hardware-Software Integration and IoT telemetry systems
- Custom Enterprise Development, custom portals, and ERP/CRM systems
- IT Consulting, technical architecture advisory, and leadership
- Technical Supports, system maintenance, and infrastructure monitoring
- Commercial CCTV Installations and security hardware configuration
- B2B Solutions, partner portals, and enterprise API integrations
Individual project engagements may be further defined through a dedicated Statement of Work (SOW), Service Level Agreement (SLA), or Master Services Agreement (MSA) signed by both parties.
02. Intellectual Property & Licensing
Custom Deliverables
Upon full settlement of all agreed project fees, custom-developed software components, client-specific source codes, and bespoke database architectures created specifically for the client shall become the intellectual property of the client, unless explicitly specified otherwise in writing.
Proprietary Frameworks & SaaS
Lealix IT Solutions retains full and exclusive ownership of its pre-existing core libraries, modular architecture foundations, software boilerplates, and proprietary SaaS platforms. Clients receive a non-exclusive, non-transferable license to access and utilize these systems under their active subscription or service agreement.
03. Client Responsibilities & System Access
To ensure timely delivery and optimal software execution, the client agrees to:
- Provide accurate project requirements, specifications, and timely operational feedback.
- Grant authorized and secure access to relevant servers, APIs, third-party integrations, or physical premises necessary for hardware/CCTV deployment.
- Maintain the confidentiality of administrative credentials and immediately notify Lealix IT Solutions of any unauthorized access or security breaches.
04. Hardware & CCTV Installation Terms
For physical hardware, IoT integrations, and CCTV installation projects:
- Clients are responsible for ensuring physical site safety, necessary building permits, and stable electrical/network supply.
- Hardware equipment warranties are governed by original manufacturer warranties, supplemented by Lealix IT Solutions' installation craftsmanship guarantee.
- Lealix IT Solutions is not liable for network downtime or hardware failures caused by external ISP outages, electrical surges, or unauthorized tampering.
05. Invoicing, Payment & Subscriptions
Payment schedules, milestones, retainer fees, and recurring SaaS subscription rates are outlined in project contracts or proposals. Invoices are due according to the specified payment terms (e.g., net 15 or net 30 days). Late payments may result in temporary suspension of technical support, cloud services, or ongoing development sprints until balances are settled.
06. Confidentiality & Non-Disclosure
Both parties agree to hold in strict confidence all proprietary technical data, business processes, trade secrets, software designs, and customer information disclosed during the engagement. Confidentiality obligations remain in effect indefinitely or as specified under an executed Mutual NDA.
07. Limitation of Liability & Warranties
Software and services are provided in accordance with industry best practices and technical precision. Except where prohibited by applicable law, Lealix IT Solutions shall not be held liable for indirect, incidental, or consequential damages, loss of business revenue, or data loss resulting from third-party outages, cyberattacks beyond reasonable control, or unauthorized client modifications.
08. Governing Law & Legal Registration
These terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Lealix IT Solutions is registered under the Department of Trade and Industry (DTI Business No: 8407189).
